• "Client" means any individual or entity that engages ADC Media for advertising and marketing services.
• "Services" means all digital advertising, media buying, performance marketing, creative production, and related services offered by ADC Media.

• "User" / "You" means any individual accessing or using the Website.

2. Services

ADC Media provides digital advertising and marketing services including, but not limited to:

• Programmatic advertising and media buying
• Social media advertising campaigns
• Search engine marketing (SEM/PPC)
• Performance marketing and user acquisition
• Creative production and ad design
• Analytics, reporting, and campaign optimization
• Anti-fraud solutions and traffic auditing

Specific terms for individual service engagements will be detailed in separate service agreements or insertion orders between ADC Media and the Client.

3.1 Permitted Use

You may use our Website for lawful purposes only. You agree not to:

• Use the Website in any way that violates any applicable local, national, or international law or regulation

6. Payment Terms

Payment terms for services are specified in individual service agreements. General terms include:

• All fees are quoted in the currency specified in the service agreement
• Invoices are due within the period specified in the service agreement (typically net 30 days)
• Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by UAE law, whichever is lower
• Clients are responsible for all applicable taxes, including VAT at the prevailing UAE rate (currently 5%)

7. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party in connection with services, including business plans, financial data, campaign strategies, audience data, and proprietary technology. This obligation survives the termination of any agreement between the parties.

8. Limitation of Liability

To the maximum extent permitted by UAE law:

• ADC Media provides its Website and services on an "as is" and "as available" basis without warranties of any kind, whether express or implied
• We do not guarantee that our Website will be uninterrupted, secure, or error-free
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Website or services
• Our total liability for any claim arising from or related to these Terms shall not exceed the total amount paid by you to ADC Media in the twelve (12) months preceding the claim
• We do not guarantee specific advertising results, ROI, or performance metrics unless explicitly stated in a service agreement

9. Indemnification

You agree to indemnify, defend, and hold harmless ADC Media, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Website or services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or materials you provide to us for advertising purposes

10. Third-Party Links and Services

Our Website may contain links to third-party websites, platforms, or services that are not owned or controlled by ADC Media. We assume no responsibility for the content, privacy policies, or practices of any third-party websites. The inclusion of any link does not imply endorsement by ADC Media.

11. Force Majeure

ADC Media shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, pandemics, internet or telecommunications failures, or power outages.

12. Termination

We reserve the right to terminate or suspend your access to the Website at any time, without prior notice, for any reason, including if we believe you have violated these Terms. Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or relating to these Terms or your use of the Website shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
